Terms of Service

Welcome to Kingdom Coaching Professional Corporation (“Company”, “we”, “us”, or “our”). By using our business coaching services, you acknowledge and agree to the following Terms of Service. If you do not agree to these terms, you must discontinue use of our services immediately.

1. Services Provided

Kingdom Coaching offers professional business coaching services, focusing on scaling businesses and leadership development. Our services include strategic guidance, financial planning, marketing advice, and management coaching delivered through in-person and online sessions.

We reserve the right to modify, suspend, or discontinue any service at any time, without prior notice or liability to you.

2. Eligibility

You must be 18 years of age or older to use our services. By agreeing to these terms, you confirm that you meet this requirement and have full legal capacity to enter into a binding agreement with Kingdom Coaching.

3. Client Responsibilities

You agree to:

• Provide accurate and up-to-date information during the intake process and throughout your engagement.

• Adhere to all applicable laws in your interactions with us and other clients.

• Actively participate in coaching and implement strategies to the best of your ability.

Failure to fulfill these responsibilities may result in the termination of services.

4. Fees and Payment Terms

Fees for services are communicated in advance. You agree to pay all fees associated with your selected coaching package in a timely manner. Failure to pay may result in suspension of services.

Refunds: All payments are non-refundable, except in cases where Kingdom Coaching is unable to deliver the agreed-upon services due to reasons attributable solely to us. No refunds will be issued for unused coaching sessions or services.

Late Payments: Failure to make timely payments may result in additional fees or the termination of services. We reserve the right to charge interest on overdue amounts at a rate allowed by Minnesota law.

5. Cancellation and Rescheduling Policy

You may cancel or reschedule a coaching session with at least 24 hours’ notice. Failure to provide timely notice may result in forfeiture of the session without refund.

Kingdom Coaching-Initiated Cancellations: If we cancel a session, it will be rescheduled at no additional cost to you. We are not liable for any losses incurred due to canceled sessions, including travel or lodging costs.

6. Confidentiality and Non-Disclosure

We will maintain the confidentiality of any information shared during coaching sessions, except where disclosure is required by law, court order, or to protect the rights and property of Kingdom Coaching.

However, you agree that any testimonials or feedback provided by you may be used by Kingdom Coaching for promotional purposes, unless you explicitly request otherwise.

7. Intellectual Property

All content, materials, and resources provided by Kingdom Coaching remain our exclusive intellectual property. You may not copy, distribute, or create derivative works from our materials without our explicit, written consent.

Unauthorized use of our intellectual property may result in legal action.

8. Limitation of Liability

To the maximum extent permitted by law, Kingdom Coaching shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from your use of our services, including but not limited to lost profits, business interruption, loss of goodwill, or reputational harm.

In no event shall our liability exceed the total amount paid by you for services rendered during the three (3) months preceding the claim.

We do not guarantee any specific outcomes from our coaching services, and you acknowledge that results may vary depending on your implementation of the strategies provided.

9. Disclaimer of Warranties

Our services are provided on an “as-is” and “as-available” basis without any warranties, either express or implied. We do not warrant that our services will be error-free, uninterrupted, or that specific results will be achieved.

We expressly disclaim any and all warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Indemnification

You agree to indemnify, defend, and hold harmless Kingdom Coaching, its affiliates, directors, officers, employees, and agents from any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use of our services.

• Any violation of these Terms of Service.

• Any legal action resulting from your business activities, including but not limited to, contractual disputes with third parties or regulatory violations.

11. Termination

Kingdom Coaching reserves the right to terminate or suspend your access to services at any time, without prior notice, if you violate these Terms of Service or engage in behavior that we deem harmful, unethical, or unlawful.

Upon termination, any fees owed for services rendered will remain payable, and any outstanding payments must be settled immediately.

12. Dispute Resolution and Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions.

In the event of any disputes arising from these terms or your use of our services, you agree to submit to binding arbitration in the state of Minnesota. The arbitrator’s decision shall be final and binding. Any claim must be filed within one (1) year from the date the claim arises, or it will be permanently barred.

13. Severability

If any provision of these Terms of Service is found to be unenforceable or invalid under applicable law, such provision will be modified to reflect the parties’ intention or eliminated to the minimum extent necessary. The remaining provisions will continue in full force and effect.

14. Entire Agreement

These Terms of Service constitute the entire agreement between you and Kingdom Coaching with respect to your use of our services and supersede all prior agreements or understandings, whether written or oral.

15. Changes to Terms of Service

We reserve the right to modify these Terms of Service at any time. Any changes will be effective immediately upon posting on our website or sending you a notification. Your continued use of our services constitutes acceptance of the revised terms.
